1. Introduction & Scope

These Terms of Service ("Terms") govern your access to and use of C8KE’s AI-powered business services, including but not limited to AI Google Review, AI Menu, and any future AI modules provided by C8KE (collectively, the "Services").

By subscribing to or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

These Terms apply specifically to small and medium-sized businesses (SMBs) with a physical location listed on Google Maps (e.g., restaurants, cafés, hotels, salons, and other storefronts) who register for and use the Services.

2. Eligibility & Accounts

• You must be a legally registered business with a valid physical address discoverable by the public (e.g., on Google Maps).
• You must be at least 18 years old and authorized to enter into contracts on behalf of your business.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

3. Services

3.1 AI Google Review

• Provides tools for customers to leave reviews more easily via QR codes, voice-to-text features, and AI assistance.
• You may not use the Service to solicit or incentivize false reviews, otherwise violate Google’s review policies.
• All reviews remain the sole responsibility of the customer who submits them.

3.2 AI Menu

• Enables businesses to digitize menus, provide AI-based translations, and generate explanations or recommendations.
• AI-generated translations and recommendations are provided for convenience only and C8KE makes no guarantee of accuracy or suitability.

3.3 Future AI Modules

• Additional services may be added. By continuing to use the Services, you agree that any new modules will also be governed by these Terms, unless expressly stated otherwise.

4. Pricing & Subscription

• Each Service module is priced and billed separately on a subscription basis.
• Fees are non-refundable except as required by law.
• Subscriptions automatically renew unless canceled prior to the renewal date.
• You authorize C8KE (or its payment processor) to charge your chosen payment method for applicable fees.

5. Merchant Responsibilities

• You must provide accurate, lawful, and up-to-date business information.
• You are solely responsible for compliance with third-party platform policies (e.g., Google Maps, Google Reviews).
• You must not misuse the Services or attempt to interfere with their normal operation.

6. Data & Privacy

• Customer input data (e.g., voice, text) is processed solely for the purpose of generating review or menu outputs.
• Menu data and other business-provided content may be stored and used to deliver the Services.
• All data handling complies with applicable privacy laws and C8KE’s Privacy Policy.

7. Intellectual Property

• We use industry-standard encryption and safeguards to protect stored and transmitted data
• Access to data is restricted to authorized C8KE personnel only

7. Your Rights

• C8KE retains all rights, title, and interest in the Services, including AI models, software, and generated analytics.
• You retain ownership of your business content (e.g., menus, branding), but grant C8KE a limited license to use such content to operate and improve the Services.
• AI-generated outputs may be used by you for your business purposes, subject to compliance with these Terms.

8. Disclaimer & Limitation of Liability

• The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
• C8KE makes no warranties regarding accuracy, reliability, or the outcome of using AI-generated content.
• C8KE is not liable for customer reviews, third-party actions (e.g., Google removing reviews), or damages arising from use of the Services.
• To the maximum extent permitted by law, C8KE’s total liability for any claim shall not exceed the amount you paid for the Services in the preceding 12 months.

9. Termination

• You may cancel your subscription at any time through your account dashboard.
• C8KE may suspend or terminate your access to the Services if you breach these Terms or misuse the Services.
• Upon termination, your right to use the Services immediately ceases, but payment obligations already incurred remain enforceable.

10. Governing Law & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.
• Any disputes shall be resolved through binding arbitration or the courts of Ontario, unless otherwise required by applicable law.

11. Changes to Terms

• C8KE may update these Terms from time to time.
• We will provide notice of material changes (e.g., via email or in-app notification).
• Continued use of the Services after updates constitutes acceptance of the revised Terms.
